By accessing, browsing, or using any part of the Instructors Dash platform or services, including but not limited to our websites, mobile applications, or any software provided by or on behalf of Instructors Dash (collectively referred to as the "Services"), you, as a user, agree to be unconditionally bound by these Terms and Conditions (hereafter referred to as the "Terms"). It is imperative that you read these Terms as they encompass important information regarding your legal rights, remedies, and obligations. These Terms include various limitations and exclusions, a detailed dispute resolution clause, and an agreement to comply with all applicable laws and regulations.   • "Organizer(s)" signifies any individuals or entities utilizing the Services to create, promote, manage, send, or receive payments for an event or service offering.
  • "User(s)" encompasses all individuals or entities who access, use, or interact with the Services, including Organizers, Consumers, and any visitors to the Instructors Dash platform.
  • "Services" collectively refers to the accessible features, functionalities, content, and applications offered through Instructors Dash, including but not limited to its website, mobile applications, and any associated services.
  • “Instructors Dash Properties" refers to the collective suite of products, features, and offerings available through Instructors Dash, including its website, mobile applications, and any other digital assets or services offered.
  • "Material" encompasses all forms of content, including but not limited to information, data, text, editorial content, design elements, graphics, images, photographs, videos, music, sounds, and other digital materials provided or accessible through the Services.
  • "Site Content" means all content that Instructors Dash makes available through the Services, including any content licensed from a third party, but excluding User Content.

Additionally, the Services are designed to cater to both global and local users, and as such, it is the responsibility of each User to ensure that their engagement with the Services complies with all applicable local, state, national, and international laws and regulations.

4. Nature of Service

Instructors Dash prides itself on offering a comprehensive, specialized website and student management platform tailored to the unique needs of event organizers and participants. Our Services provide an array of features including, but not limited to, event creation and management tools, personalized website development, customized ticketing solutions, streamlined transaction processes, enhanced mobile responsiveness, integrated feedback mechanisms, and options for brand customization. These Services are designed to facilitate the seamless organization and management of events, thereby enabling Users to maintain full control over their event experiences while accessing essential growth tools.

4.1 Licenses and Permits for Organizers

Organizers are responsible for obtaining all necessary licenses, permits, and authorizations required to lawfully conduct events promoted or ticketed through the Services. This includes ensuring compliance with local, state, federal, and international laws governing their event. Proof of such licensure may be required by Instructors Dash at any time to ensure compliance with legal standards and platform policies.

5. Account Registration and Management

To access and utilize certain features of the Services, you may be required to create an account with Instructors Dash. In doing so, you agree to (a) provide accurate, current, and complete account information, (b) maintain and promptly update, as necessary, your account information, (c) maintain the security of your account credentials, (d) be responsible for the acts or omissions of any third party who has authority to access or use the Services on your behalf, and (e) immediately notify Instructors Dash if you discover or otherwise suspect any security breaches related to the Services or your account. By creating an account, you also consent to receive electronic communications from Instructors Dash (e.g., via email or by posting notices to the Services). These communications may include notices about your account (e.g., payment authorizations, password changes, and other transactional information) and are part of your relationship with us.

6. Subscription Terms

Instructors Dash offers its Services via a diverse array of subscription models, which include monthly and annual memberships, among other options. The following outlines the specific terms and conditions applicable to each subscription plan:

  • Monthly Subscriptions: Subscribers to a monthly plan are billed at a recurring rate. The initial subscription fee is set at $47 for the first 12 months. After the initial period, the fee transitions to $97 per month. This fee structure is designed to provide an introductory rate for new subscribers, with transparency into the standard rate applicable thereafter. Subscriptions renew automatically each month unless the subscriber decides to cancel, in accordance with our cancellation policy.
  • Lifetime Memberships: Occasionally, Instructors Dash may present opportunities for Lifetime Memberships, which grant perpetual access to our Services for a one-time fee. The cost and terms of these memberships will be clearly communicated at the time of purchase. Notably, purchases of Lifetime Memberships are final and non-refundable after the transaction is completed.
  • Cancellation Policy: Subscriptions can be cancelled at any time, ensuring flexibility for our users. For new subscribers, we offer a 14-day trial period during which you can experience our services without charge. If you choose to cancel within this trial period, you are eligible for a full refund. After the trial period, if the subscription is cancelled within the first 30 days, a prorated refund will be provided, reflecting the number of days the service was used.
  • Payment Processing and Contracting Entities: The contracting entity responsible for processing your payment varies based on the subscriber’s geographical location and chosen payment method. By subscribing, you agree to enter into a contractual agreement with an Instructors Dash affiliate specifically for the purpose of payment processing. The terms and conditions applicable to payment processing are distinct from general service terms. These will be provided to you at the time of subscription and must be agreed upon as part of the subscription process.

7. Payment, Taxes, and Refund Policy

7.1 Fees and Payment: Users agree to pay the fees for the subscription or services they select. All payments will be processed in accordance with Instructors Dash's current billing terms. Users must provide accurate and current billing information and agree to promptly update their information with any changes.

7.2 Taxes: Users are responsible for any taxes that arise from their use of Instructors Dash's services. Instructors Dash will charge tax where legally required.

8. Conduct and Use of Services

Users must use Instructors Dash's services responsibly and ethically. By using the services, users agree not to:

  • Misuse the services in any way that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying the services or that could damage, disable, overburden, or impair the functioning of the services.
  • Please note that the users are required to maintain a respectful and professional interaction within the Instructors Dash platform. It is imperative that all content shared and conduct exhibited refrains from being discriminatory, defamatory, hateful, harassing, abusive, obscene, threatening, or in any way deemed offensive. Instructors Dash reserves the right, at its sole discretion, to determine what constitutes inappropriate behavior and to take action, which may include removal from the platform or termination of services, against any user found to be in violation of this policy.

9. Intellectual Property Rights

9.1 User Content: Users maintain ownership over their original content shared on the Instructors Dash platform. However, by submitting content, users grant Instructors Dash a non-exclusive, royalty-free, worldwide license to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties such content solely for the purposes of operating, providing, and improving the Services.

9.2 Instructors Dash's Content and Trademarks: Instructors Dash retains all rights, title, and interest in and to its Services, including, without limitation, all software, content, visual interfaces, interactive features, graphics, design, compilation, computer code, products, services, proprietary methods and processes, and all other elements of the Services provided by Instructors Dash ("Instructors Dash Content"). Except for the rights expressly granted to the user in these Terms, no other rights are granted, either express or implied, to any Instructors Dash Content or trademarks. The use of the Instructors Dash name, logo, or other brand features without prior written consent is strictly prohibited.

9.3 Ownership of Services and Related Intellectual Property: Instructors Dash asserts full ownership over the Instructors Dash platform and all associated intellectual property not explicitly granted to users. This includes, but is not limited to, the underlying code, associated software, aggregate user content, and all other elements that make up the service, along with any updates, enhancements, modifications, or derivative works thereof. This comprehensive ownership extends to all operational frameworks, methodologies, trademarks, service marks, trade names, and proprietary information integral to the functionality and branding of the Services. Users acknowledge that Instructors Dash is the sole owner of all rights, interest, and title in the platform, affirming that no transfer of ownership or the granting of any derivative rights to the user is implied outside of what is expressly stated in these Terms.

Instructors Dash may, at its discretion, terminate or suspend access to the services for any user who violates these terms or for any other reason deemed necessary for the integrity and operation of the services.

14. Indemnification

Users agree to indemnify and hold harmless Instructors Dash, its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of your use of the Services, your violation of these Terms, or your violation of any rights of another.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Instructors Dash and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not Instructors Dash has been informed of the possibility of such damage.
By utilizing the Services provided by Instructors Dash, you acknowledge and agree that the entire risk arising out of your access to and use of our Services remains solely with you. You must determine the suitability of the content provided through our Services for your intended purposes and bear all risks associated with that use, including any reliance on the accuracy, completeness, or usefulness of such content.

16. Dispute Resolution

16.1 Governing Law: These Terms shall be governed and construed in accordance with the laws of the jurisdiction of Instructors Dash's headquarters, without regard to its conflict of law provisions.

16.2 Agreement to Arbitrate: You and Instructors Dash agree to resolve any disputes through final and binding arbitration, except as set forth under Exceptions to Agreement to Arbitrate below.

16.3 Exceptions to Agreement to Arbitrate: Either you or Instructors Dash may assert claims, if they qualify, in small claims court in the jurisdiction of Instructors Dash's headquarters or any United States county where you live or work.

17. Governing Law

These Terms and your use of the Services will be governed by and construed in accordance with the laws of the jurisdiction where Instructors Dash is located, excluding its conflicts of law rules.

18. Changes to Terms

Instructors Dash reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 5 day notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

19. Severability

You agree that Instructors Dash will not be liable to you or to any third party for any modification, suspension, or discontinuance of the Services.

26. Access and Interference

You agree that you will not use any robot, spider, other automatic device, or manual process to monitor or copy our web pages or the content contained herein without our prior expressed written permission. You agree that you will not use any device, software, or routine to interfere or attempt to interfere with the proper working of the Instructors Dash site or any transaction being conducted on our site.

27. Export Control

You may not use, export, re-export, import, or transfer the Services except as authorized by U.S. law, the laws of the jurisdiction in which you obtained the Services, and any other applicable laws. By using the Services, you represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

28. User-Generated Content

Instructors Dash may allow users to post, upload, publish, submit, or transmit content. By making available any user-generated content on or through the Services, you hereby grant Instructors Dash a worldwide, irrevocable, perpetual, non-exclusive, transferable, royalty-free license, with the right to sublicense, to use, view, copy, adapt, modify, distribute, license, sell, transfer, publicly display, publicly perform, transmit, stream, broadcast, access, view, and otherwise exploit such user-generated content on, through, or by means of the Services.
